Any changes to the agreed scope must be documented in writing. Additional work beyond the original scope may incur additional charges.

4.3 Client Responsibilities

Clients must provide:

• Clear communication of requirements

5. Payment Terms

5.1 Pricing

All prices are quoted in British Pounds (GBP) unless otherwise specified. Prices are subject to change but will be honored for accepted proposals.

5.2 Payment Schedule

Standard payment terms include:

• 50% deposit upon project commencement
• Remaining 50% upon project completion and approval
• For larger projects, milestone-based payments may be arranged

5.3 Late Payments

Invoices are due within 14 days of issue. Late payments may incur interest charges of 1.5% per month or the maximum allowed by law.

5.4 Accepted Payment Methods

We accept bank transfers, credit/debit cards via Stripe, and other agreed payment methods.

6. Intellectual Property Rights

6.1 Client Ownership

Upon full payment, clients receive ownership of the final deliverables created specifically for their project.

6.2 Pre-existing Materials

Southall Billings LTD retains ownership of:

• Pre-existing code libraries and frameworks
• Development tools and methodologies
• General knowledge and experience

6.3 Portfolio Rights

We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing.

7. Confidentiality

We respect the confidentiality of client information and agree not to disclose proprietary information to third parties without consent, except as required by law.

8. Warranties and Representations

8.1 Our Warranties

We warrant that:

• Services will be performed with reasonable skill and care
• Work will be original or properly licensed
• We have the right to provide the services offered

8.2 Client Warranties

Clients warrant that:

• They own or have rights to all materials provided
• Use of provided materials does not infringe third-party rights
• All information provided is accurate

9. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the total fees paid for the specific service
• We are not liable for indirect, consequential, or incidental damages
• We are not liable for losses due to client-provided materials or instructions

10. Project Timeline

Timelines are estimates and dependent on:

• Timely client feedback and approvals
• Provision of required materials
• No scope changes
• Unforeseen technical challenges

11. Termination

11.1 Termination by Client

Clients may terminate projects with written notice. Client remains liable for work completed and expenses incurred up to termination date.

11.2 Termination by Southall Billings LTD

We may terminate services if:

• Payment terms are not met
• Client breaches these terms
• Project becomes illegal or impractical

12. Support and Maintenance

Post-launch support terms are specified in individual project agreements. Extended support and maintenance services are available separately.

13. Third-Party Services

Projects may require third-party services (hosting, APIs, licenses). Clients are responsible for costs and compliance with third-party terms.

14. Dispute Resolution

In the event of disputes:

1. Parties will first attempt to resolve through good-faith negotiation
2. If unresolved, mediation may be pursued
3. Legal proceedings will be governed by the laws of England and Wales

15. Force Majeure

Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, war, strikes, or government actions.

16. Data Protection

17. Website Use
